Service Terms

Effective
October 1, 2026
Version
2026-10-01

These Service Terms govern productized services and professional services purchased from or expressly accepted through REVPNT unless a separate written agreement provides otherwise.

1. SERVICE PROVIDER

REVPNT is a business framework and operating name used by Maurice Willis, an individual.

Unless a separate agreement expressly identifies another contracting party, the customer's service agreement is with Maurice Willis operating under the REVPNT name.

2. SCOPE OF SERVICES

The scope of an engagement is defined by the applicable:

  • Service page
  • Checkout description
  • Order confirmation
  • Proposal
  • Statement of work
  • Written scope
  • Signed agreement

Only items expressly included within the agreed scope are included in the purchase.

Additional requests may require:

  • Additional fees
  • Additional time
  • Revised scope
  • Separate approval
  • A separate agreement

3. PROJECT COMMENCEMENT

Payment alone does not necessarily begin the delivery period.

Unless expressly stated otherwise, a project's stated turnaround begins only after REVPNT has received:

  1. 01Required payment
  2. 02Completed Project Kickoff or other required intake
  3. 03Required content and information
  4. 04Necessary files
  5. 05Necessary credentials or account access
  6. 06Required approvals
  7. 07Sufficient information to reasonably begin the work

If required information is incomplete, the delivery timeline may not begin or may be paused until the missing information is received.

4. CUSTOMER RESPONSIBILITIES

Customers agree to:

  • Provide reasonably accurate information
  • Respond to necessary project requests
  • Provide required materials
  • Provide required approvals
  • Provide authorized access when necessary
  • Ensure they have the right to provide all submitted materials
  • Review important deliverables
  • Make final business decisions

Customers are responsible for the legality and accuracy of information they provide.

5. DELIVERY TIMELINES

Quoted turnaround periods are based on the scope and information available when the project begins.

Delivery may be affected by circumstances including:

  • Customer delays
  • Missing information
  • Approval delays
  • Scope changes
  • Technical complications
  • Integration limitations
  • Third-party outages
  • Platform changes
  • API changes
  • Required customer decisions
  • Circumstances reasonably outside REVPNT's control

REVPNT will make reasonable efforts to communicate material project delays.

6. REVISIONS

Only revisions expressly included in the service description or agreement are included.

A revision means a reasonable adjustment to work already performed within the original scope.

A revision does not automatically include:

  • A new project direction
  • A new deliverable
  • Additional pages
  • Additional workflows
  • Expanded integrations
  • New campaigns
  • Additional brand concepts
  • New technical features
  • Work outside the original scope

Out-of-scope requests may require additional fees or a new agreement.

6A. DELIVERY DATE

"Delivery Date" means the date on which REVPNT:

  • Provides the completed deliverable;
  • Makes the completed digital product available;
  • Transfers or provides access to the completed work;
  • Publishes or launches the completed work when launch is part of the agreed scope; or
  • Otherwise notifies the customer that the agreed deliverable is ready for handoff.

If a project contains multiple separately delivered phases, REVPNT may identify a separate Delivery Date for each final deliverable or phase.

6B. 10-DAY HANDOFF PERIOD

After delivery of a completed service or digital product, REVPNT remains connected to the customer for a 10-calendar-day handoff period.

The purpose of the handoff period is to help transition the completed work into the customer's possession, systems, or normal operations.

During the handoff period, REVPNT may reasonably assist with:

  • Delivery clarification
  • Access questions
  • File-location questions
  • Credential or ownership transfer where applicable
  • Basic implementation clarification
  • Questions about how the delivered system works
  • Reasonable launch-related questions
  • Identifying potential delivery issues
  • Correcting qualifying errors within the agreed scope
  • Clarifying instructions or documentation provided with the project

The handoff period begins on the Delivery Date.

The handoff period ends 10 calendar days after the Delivery Date.

The handoff period does not include:

  • New functionality
  • New pages
  • New campaigns
  • New workflows
  • Additional integrations
  • Redesigns
  • New concepts
  • New strategy
  • Material changes in direction
  • Training not included in the original scope
  • New content creation
  • New automation requirements
  • Ongoing management
  • Ongoing maintenance
  • Customer-requested enhancements outside the original scope

Requests outside the original scope may require additional fees or a new engagement.

6C. 45-DAY SATISFACTION COMMITMENT

REVPNT wants customers to receive work that materially reflects the service or deliverable they purchased.

For 45 calendar days following the Delivery Date, customers may report qualifying issues with the delivered service or digital product.

If REVPNT determines that a reported issue is attributable to REVPNT and represents an error, defect, omission, or material inconsistency with the agreed scope, REVPNT will make reasonable efforts to correct the issue without an additional professional-service fee.

This is an issue-resolution commitment.

It is not a money-back guarantee and does not create a general right to a refund.

All purchases remain subject to the REVPNT Satisfaction & Refund Policy.

WHAT QUALIFIES AS AN ISSUE

A qualifying issue may include:

  • A delivered feature that does not function as reasonably intended within the agreed scope
  • A technical error attributable to REVPNT
  • A configuration error attributable to REVPNT
  • A material omission from an expressly agreed deliverable
  • A broken link, form, workflow, automation, or configuration created by REVPNT
  • A delivered digital asset that materially differs from the approved or agreed scope
  • A reasonable correction required because REVPNT implemented something incorrectly
  • A reproducible problem in REVPNT-created work that existed at delivery

REVPNT will determine whether a reported matter qualifies after reviewing the circumstances and agreed scope.

WHAT DOES NOT QUALIFY

The 45-Day Satisfaction Commitment does not include:

  • Change of mind
  • Personal preference changes after approval
  • New requirements
  • New functionality
  • New pages
  • New workflows
  • Additional integrations
  • Additional revisions beyond the agreed scope
  • Redesign requests
  • New strategy
  • New branding directions
  • New marketing campaigns
  • New automation ideas
  • Additional consulting
  • Ongoing maintenance
  • Ongoing optimization
  • Training not included in the original service
  • Problems created by customer changes after delivery
  • Problems created by another developer, contractor, agency, administrator, or third party
  • Problems caused by customer misuse
  • Problems caused by deleted or modified configurations
  • Problems caused by revoked access
  • Problems caused by expired subscriptions
  • Problems caused by unpaid third-party services
  • Third-party platform outages
  • Third-party software updates
  • API changes
  • Hosting failures outside REVPNT's reasonable control
  • Platform policy changes
  • Advertising-platform decisions
  • Search-engine algorithm changes
  • AI-model or AI-provider changes
  • Compatibility with technology that was not part of the agreed scope
  • Business-performance dissatisfaction where the agreed work itself was properly delivered

These circumstances may require a separate engagement.

REPORTING AN ISSUE

Customers should report qualifying issues as soon as reasonably practical and no later than 45 calendar days after the applicable Delivery Date.

Issue reports should be sent to:

connect@revpnt.com

Where practical, include:

  • Customer name
  • Order or project reference
  • Service purchased
  • Description of the issue
  • Relevant URL
  • Screenshot or screen recording if helpful
  • Steps required to reproduce the issue
  • Date the issue was first noticed

REVPNT may request additional information reasonably necessary to investigate the issue.

ISSUES REPORTED DURING DAYS 1–10

Issues reported during the first 10 calendar days fall within both:

  • The 10-Day Handoff Period; and
  • The 45-Day Satisfaction Commitment.

REVPNT may address the issue as part of the normal handoff process.

ISSUES REPORTED DURING DAYS 11–45

After the 10-Day Handoff Period has ended, customers may still report qualifying issues until the end of the 45-Day Satisfaction Period.

During this period, support is limited primarily to reviewing and correcting qualifying issues associated with the originally delivered work.

General handoff assistance, new requests, ongoing consulting, maintenance, optimization, or expanded work are not included unless separately agreed.

AFTER DAY 45

After 45 calendar days from the applicable Delivery Date, the standard satisfaction and issue-resolution period ends.

REVPNT may still assist with future changes, maintenance, troubleshooting, enhancements, updates, or other work through:

  • A new service purchase;
  • A maintenance arrangement;
  • A support engagement;
  • A new project scope; or
  • Another written agreement.

Nothing prevents REVPNT from voluntarily assisting a customer after 45 days.

However, work performed after the 45-Day Satisfaction Period is not automatically included in the original purchase.

7. AI AND AUTOMATION

Some services may involve artificial intelligence, machine learning, automation, or third-party AI systems.

Customers understand that AI-generated or AI-assisted outputs may contain:

  • Errors
  • Omissions
  • Inconsistent results
  • Incorrect assumptions
  • Unexpected behavior
  • Limitations caused by third-party systems

REVPNT does not guarantee that AI systems will always produce identical, accurate, complete, or suitable results.

Human review may be necessary, particularly where output affects:

  • Financial decisions
  • Legal matters
  • Contracts
  • Employment
  • Safety
  • Compliance
  • Regulated activity
  • Other consequential decisions

Customers remain responsible for final approval and use of outputs within their businesses.

8. THIRD-PARTY PLATFORMS

Projects may depend on third-party services including:

  • Website platforms
  • Hosting providers
  • Payment processors
  • AI services
  • APIs
  • Advertising platforms
  • Domain providers
  • Analytics platforms
  • CRM systems
  • Email providers
  • Automation platforms
  • Other software

REVPNT is not responsible for independent third-party:

  • Pricing changes
  • Account suspensions
  • Outages
  • Policy changes
  • API limitations
  • Software changes
  • Security incidents
  • Service discontinuation
  • Platform decisions
  • Data loss outside REVPNT's reasonable control

Continuing third-party fees are the customer's responsibility unless expressly included in writing.

9. ACCOUNT ACCESS AND CREDENTIALS

Customers may provide temporary access to systems necessary for project delivery.

Customers should use secure sharing methods where available.

REVPNT will use supplied access only for authorized project purposes.

Customers should revoke unnecessary permissions after project completion.

10. CONFIDENTIAL INFORMATION

REVPNT will use reasonable care when handling non-public customer information provided for an engagement.

Confidential information does not include information that:

  • Is already publicly available
  • Becomes public through no wrongful act by REVPNT
  • Is independently developed without use of the confidential information
  • Is lawfully received from another source
  • Must be disclosed pursuant to applicable law

Additional confidentiality requirements may be established through a separate written agreement or nondisclosure agreement.

11. CUSTOMER MATERIALS

Customers retain ownership of intellectual property they owned before the engagement.

By providing customer materials to REVPNT, customers grant REVPNT permission to use those materials to the extent reasonably necessary to perform the agreed work.

12. REVPNT INTELLECTUAL PROPERTY

Maurice Willis / REVPNT retains ownership of pre-existing or independently developed:

  • Frameworks
  • Methodologies
  • Know-how
  • Processes
  • Templates
  • Diagnostic structures
  • Business systems
  • Prompt systems
  • Automation patterns
  • Software components
  • Reusable code
  • Internal tools
  • Libraries
  • Concepts
  • Workflows
  • Other reusable intellectual property

Purchasing a REVPNT service does not transfer ownership of REVPNT's underlying framework, methodologies, reusable systems, or intellectual property unless expressly agreed in writing.

13. FINAL DELIVERABLES

Upon full payment, ownership or usage rights in custom final deliverables will be governed by the applicable service description, proposal, statement of work, or written agreement.

Third-party software, fonts, stock assets, libraries, plugins, APIs, software platforms, AI models, and licensed materials remain subject to their respective licenses.

Unless a separate agreement expressly provides otherwise, a customer receives a non-exclusive right to use the completed deliverable for its intended business purpose while REVPNT retains ownership of its underlying reusable systems, methodologies, components, processes, and intellectual property.

14. PORTFOLIO, CASE STUDIES, AND PUBLICITY

REVPNT will not represent customer work publicly as an attributed case study, testimonial, endorsement, or publicly identified customer relationship without appropriate permission.

REVPNT may separately request permission for:

  • Public attribution
  • Testimonials
  • Portfolio use
  • Anonymized case studies
  • Screenshots
  • Results reporting

Permission is not automatically granted merely because services were purchased.

15. FEES, PAYMENT, SATISFACTION, AND REFUNDS

Fees are due according to the applicable checkout, invoice, proposal, or agreement.

Unless expressly stated otherwise, required payment must be received before work begins.

All purchases are final and non-refundable except where required by applicable law or expressly stated in a separate written agreement.

Delivered services and digital products are supported by:

  • A 10-Day Handoff Period; and
  • A 45-Day Satisfaction Commitment for qualifying issues.

These support commitments provide an opportunity for REVPNT to review and reasonably correct qualifying issues within the original agreed scope.

They do not create a general right to refunds.

Failure to complete Project Kickoff, provide required materials, provide required access, respond to project requests, use a purchased service, or continue with a project does not create a right to a refund.

Customers remain responsible for applicable taxes and third-party costs not expressly included in the quoted fee.

16. NO GUARANTEED RESULTS

REVPNT provides professional work, analysis, implementation, strategy, and recommendations.

REVPNT does not guarantee:

  • Revenue
  • Profitability
  • Leads
  • Search rankings
  • AI-search placement
  • Conversion rates
  • Advertising performance
  • Cost reductions
  • Customer acquisition
  • Customer retention
  • Investment results
  • Business success

17. CUSTOMER APPROVAL

Customers are responsible for reviewing and approving materials before consequential use or publication where review is reasonably possible.

REVPNT is not responsible for a customer's independent decision to publish, distribute, deploy, or rely upon work contrary to an identified limitation or recommendation.

18. SUSPENSION OR TERMINATION

REVPNT may pause or terminate work when reasonably necessary due to:

  • Nonpayment
  • Prolonged customer nonresponse
  • Missing required information
  • Abusive conduct
  • Fraud
  • Illegal requests
  • Misuse of REVPNT systems
  • Security concerns
  • Circumstances making performance unreasonable or unlawful

Financial treatment following suspension or termination will be governed by the applicable agreement and the Satisfaction & Refund Policy.

Suspension or termination does not create a refund right except where required by applicable law or expressly provided in a separate written agreement.

19. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, liability arising from a paid engagement will not exceed the amount actually paid to REVPNT for the specific service giving rise to the claim.

To the extent permitted by law, REVPNT will not be responsible for indirect, consequential, special, punitive, or speculative business losses.

Nothing in these Service Terms excludes liability that applicable law does not permit to be limited or excluded.

20. ENTIRE AGREEMENT

The applicable service description, order confirmation, these Service Terms, Satisfaction & Refund Policy, and any applicable signed proposal, statement of work, or agreement together form the agreement governing the service.

If a signed agreement expressly conflicts with these Service Terms, the signed agreement controls for that engagement.

21. CHANGES TO THESE SERVICE TERMS

These Service Terms may be updated from time to time.

The version applicable to a purchase should be the version presented or incorporated when that purchase is accepted unless otherwise agreed.
